Resumen
El concepto de interés social en una sociedad cooperativa como interés de la sociedad ni está definido ni concretado legalmente. La delimitación de la noción de interés social resulta muy relevante porque es en definitiva el criterio rector del régimen de impugnación de los acuerdos sociales y de la responsabilidad de los miembros del Consejo Rector en caso de infracción de su deber de lealtad. En este ámbito hay que tener en cuenta principalmente los valores y, sobre todo, los principios cooperativos que se recogen en mayor o menor medida en la legislación aplicable a las sociedades cooperativas.
The concept of society interest in a cooperative as an interest of society is neither defined nor legally specified. The delimitation of the notion of society interest is very relevant because it is the basic criterion of the legal system of challenging society agreements and the responsibility of the members of the Governing Board in case of breach of duty of loyalty. In this context, it is necessary to take into account mainly the cooperative values and principles that are included in the applicable laws to cooperative societies.
